Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of Swarm Stack ("the Product"), a subscription software product operated by Jorvik LLC, trading as Swarm ("we", "us", "our"), with a registered address at 447 Broadway, 2nd Floor Suite #2835, New York, New York 10013, United States.

The Product is accessible at 5warm.ai/stack.

By subscribing to Swarm Stack, you agree to these Terms. If you don't agree, don't subscribe.

2. What You're Getting

Swarm Stack is subscription software delivered via access to a private GitHub repository. Your subscription includes:

• Access to the private Swarm Stack GitHub repository
• All code, documentation, and updates published to that repository
• Access for the duration of your active subscription

3. Billing & Payments

• Billing: Monthly recurring charges via Stripe
• Payment Method: Credit/debit card through Stripe
• Billing Cycle: Charges recur on the same date each month from your subscription start date
• Price Changes: We'll notify you at least 30 days before any price increases. You can cancel before the new price takes effect.

What You Can Do:

• Use Swarm Stack for your own personal or internal business projects
• Modify the code for your own use
• Build and deploy applications using Swarm Stack

What You Cannot Do:

• Redistribute, resell, sublicense, or share your access with others
• Publish the source code publicly or make it available to non-subscribers
• Share your GitHub access or credentials with anyone else
• Use the Product to attack, compromise, or test systems you do not own or have explicit permission to test
• Use the Product in any way that violates applicable law

License Scope: Your license is personal and non-transferable. One subscription = one user. If you need access for a team, each team member requires their own subscription.

Post-Cancellation Use: Code downloaded during your active subscription may continue to be used under these license terms, but you will no longer receive updates, security patches, or access to the private repository. Features that depend on license validation will cease to function after cancellation.

6. Cancellation & Termination

You Can Cancel Anytime

• Cancel your subscription at any time through your account dashboard or by emailing us
• Your access to the private GitHub repository continues until the end of your current billing period
• No partial refunds for unused time in your billing cycle

We May Terminate Your Access If:

• You violate these Terms (especially the license restrictions)
• You engage in abusive behavior toward our team or other users
• Your payment method fails and isn't resolved within 7 days

If we terminate your access for a Terms violation, no refund will be provided.

7. Intellectual Property

Swarm Stack, including all code, documentation, branding, and related materials, remains the intellectual property of Jorvik LLC. Your subscription grants you a license to use the Product — it does not transfer ownership.

You retain ownership of any code or applications you build using Swarm Stack.

8. No Warranty

The Product is provided "as-is" without warranty of any kind.

We make no guarantees that:

• The software will meet your specific requirements
• The software will be uninterrupted, error-free, or bug-free
• Any defects will be corrected

You use Swarm Stack at your own risk. We recommend testing in a development environment before deploying to production.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of profits, data, or business opportunities
• Our total liability to you for any claim arising from these Terms or your use of the Product is limited to the amount you paid us in the 3 months preceding the claim

10. Third-Party Services

The Product relies on third-party services including GitHub, Stripe, Cloudflare, and various API providers. We are not liable for any failure, downtime, or disruption of these third-party services.

11. Dispute Resolution

Before filing any formal legal proceeding, you agree to first attempt informal resolution by emailing swarm@5warm.ai. We will respond within 14 days. Both parties agree to engage in good faith to resolve issues informally before pursuing legal action.

If informal resolution is unsuccessful after 30 days, either party may proceed with formal proceedings.

12. Privacy

We collect and process personal data in accordance with our Privacy Policy. By using Swarm Stack, you consent to such processing.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you via email at least 14 days before they take effect.

Continued use of Swarm Stack after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of New York, United States.

Any disputes arising from these Terms that are not resolved through the informal process described above will be resolved in the courts of New York, New York.
